The https://www.zatsys.com website (the “Site”) is an online platform offering training, education, and informational content provided by Zat Systems (“Zat Systems”, “we”, “us”, or “our”). PLEASE READ THIS ONLINE TRAINING AGREEMENT (“AGREEMENT”) CAREFULLY. THIS AGREEMENT IS A LEGALLY BINDING CONTRACT BETWEEN YOU (“YOU” OR “USER”) AND Zat Systems. BY CLICKING “I AGREE,” ACCESSING THE SITE, OR OTHERWISE INSTALLING, VIEWING, COPYING, RUNNING, USING OR DISTRIBUTING ANY MATERIALS FROM THE SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE OR THE MATERIALS.

1. ACCESS TO THE SITE AND OPERATION OF THE SITE

1.1 General Access
Except for products or services clearly identified as provided by Zat Systems, the Company does not control or endorse any third-party content accessible via the Internet. Your use of the Site is at your sole risk. You are responsible for acquiring and maintaining all hardware and services (e.g., high-speed Internet, compatible browser, etc.) required to access the Site.

1.2 System Requirements
To access the Materials effectively, you must have a reliable, high-speed Internet connection. The Company is not responsible for any access issues resulting from your hardware, software, or Internet service.

1.3 Data Backup
You are solely responsible for implementing sufficient safeguards and backup systems to protect your data. The Company shall not be liable for any data loss resulting from use of the Site.

2. LICENSE GRANT

2.1 Limited License
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access the Site and use the Materials for personal, educational, and non-commercial internal use, during the term specified at purchase.

• Download and print portions of the Materials solely for your own personal use.

2.2 Definition of “Materials”
The term “Materials” includes all course content provided on the Site such as videos, documents, handouts, tests, assessments, tutorials, slide presentations, downloadable content, and related multimedia (including audio, images, and video clips). This also includes all enhancements, updates, and future versions provided to you.

2.3 Ownership
All rights not expressly granted are reserved by Zat Systems. No content may be reproduced or distributed without our prior written permission.

3. UPDATES

We may, at our sole discretion, change, update, or enhance the Site or Materials at any time without prior notice. Your continued use of the Site constitutes your acceptance of any such updates.

4. THIRD-PARTY MATERIALS

4.1 Third-Party Clips and Assets
Some content may include third-party materials licensed to Zat Systems. You agree to use such content only as part of the Materials, and not independently.

4.2 Additional Terms
These third-party materials may be subject to additional terms which are incorporated into this Agreement by reference. See: www.zatsys.com/go/eula.

4.3 Submissions
You grant Zat Systems a non-exclusive, royalty-free, worldwide, perpetual license to use any suggestions, feedback, or content you submit through public areas of the Site.

5. LICENSE RESTRICTIONS

Except as specifically authorized, you may not:

• Reproduce, redistribute, or publicly display the Materials.

• Reverse engineer, decompile, or disassemble the Materials.

• Use the Materials to develop a competing product.

• Remove or alter proprietary notices from the Materials.

• Permit third-party access using your credentials.

• Circumvent security features or access controls.

• Copy or retain Materials except as allowed herein.

Violation of these restrictions may result in termination of access and legal action.

6. PROPRIETARY RIGHTS

The Site and Materials are protected by U.S. and international intellectual property laws. All rights, title, and interest in the Site and Materials remain with Zat Systems and its licensors. Trademarks and logos on the Site may not be used without permission.

7. DATA COLLECTION AND PRIVACY

By using the Site, you consent to Zat Systems collecting and processing technical and usage data in accordance with our Privacy Policy, available at: https://www.zatsys.com/privacy-policy. This includes data for registration, analytics, anti-piracy, and compliance purposes.

We reserve the right to monitor and restrict access if usage suggests unauthorized distribution, abuse, or other violations of this Agreement.

8. LIVE INSTRUCTOR-LED TRAINING (IF APPLICABLE)

8.1 General
Each purchased ticket (“Ticket”) grants one individual access to a specific Live Instructor-Led Training Session. We may modify session content or presenters without notice.

8.2 Attendance
Ticket holders must present proof of purchase. Recording or reproducing session content is strictly prohibited.

8.3 Transferability
Tickets purchased with an online program are non-transferable. Tickets purchased separately may be transferred, but the transferee is bound by this Agreement.

8.4 Refunds
Refunds are only issued if a session is canceled or rescheduled and you are unable to attend. Refunds are issued to the original payment method within 30 business days.

9. DISCLAIMER OF WARRANTIES

THE MATERIALS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAT SYSTEMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT GUARANTEE THAT THE SITE OR MATERIALS WILL BE ERROR-FREE OR UNINTERRUPTED.

You assume full responsibility for your use of the Site.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAT SYSTEMS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SITE, OR THE MATERIALS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF LIABILITY IS FOUND, OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR ACCESS TO THE MATERIALS.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Zat Systems and its affiliates, employees, and contractors from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Site or Materials.

• Violation of this Agreement.

• Infringement of third-party rights.

We reserve the right to assume exclusive defense of any claim and you agree to cooperate fully in such defense.

12. TERMINATION

We may terminate this Agreement or your access to the Site at any time if we believe you have violated its terms. Upon termination, you must immediately cease use of the Site and destroy any downloaded content. Sections intended to survive termination (e.g., Indemnification, Limitations of Liability, etc.) shall remain in effect.

13. EXPORT COMPLIANCE

You may not access or use the Site or Materials in violation of U.S. export laws and regulations.

14. GOVERNING LAW AND MISCELLANEOUS

This Agreement shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of courts located in San Francisco, California.

No waiver or modification of this Agreement will be effective unless in writing and signed by an authorized representative of Zat Systems. If any provision is found to be invalid, the remainder of the Agreement shall remain in full force.

You may not assign this Agreement without our written consent. We may assign it without notice.

This Agreement constitutes the entire agreement between you and Zat Systems and supersedes any prior understandings or agreements.
